Subject: July 11th UCGEC Board Meeting Minutes July 22, 2011
Dear UCGEC Board Members:
We had a very important and productive board meeting on July 11th in the offices of Wilson Sonsini Goodrich & Rosati Palo Alto, CA. Attached are the proposed board meeting minutes and finance budget for your review.
A number of items were discussed. Wu, Hoover & Co., the independent auditing firm for UCGEC, together with the Board’s Finance & Audit Committee (the “F&A Committee”) presented the results of their internal investigation. In summary Wu, Hoover & Co. and the F&A Committee concluded that:
• UCGEC’s financial reports on net asset and cash flow are in conformity with generally accepted accounting principles
• There is no evidence of misappropriation, misrepresentation, fraud, or misconduct on the part of any UCGEC Board members or staff.
The board also reviewed the Council’s budget for 2011.
The board also unanimously elected Dr. Robert Yung, Dr. Edward Cazalet, and Dr. James Caldwell to serve on the executive committee.
The Executive committee subsequently appointed three (3) members of the executive committee to form the Nomination Committee. They are:
• Dr. Robert E. Larson, Chair
• Dr. Lin Sun-Hoffman
• Mr. Chuck Ng
In addition, we would also like to give you some latest updates on the Council’s activities:
The Council is bringing unique access to a number of the major clean energy super-projects in China.
This year, the Council is partnering with certain key companies and organizations to promote a number of pilot and commercial programs in Northern and Central China, working with a number of diverse clean energy and clean technology companies from the U.S. and China.
The Shanghai government is in the midst of undertaking a remarkable plan to transit from a manufacturing-based economy to a service-oriented one, with clean energy and sustainability at the forefront of such transition, including the development of the Shanghai Disneyland. The Council is in the process of entering into an MOU with the Poly Capital Fund, part of the influential Poly Group, to participate in this project in Shanghai.
• Ningbo is designated as the location of China’s “Smart, Intelligent Port” super-project and will be seeking green IT, smart logistical transportation and automation technologies and projects during the first Cleantech EXPO in early September of this year. The Council, with the support of a sponsor, Marvell, will send a delegation to participate.
• The Council has designed a program that will provide Chinese companies & municipalities with the knowledge and training to understand and participate in the convergence of Smart Cities with the Internet of Things Initiatives that will benefit both US and China tremendously. In late September of this year, the Council plans to jumpstart this program in the form of fee-based workshops in Shanghai.
• The Council has negotiated to provide substantive technical programs for this year’s three-day Silicon Valley Technology Innovation & Entrepreneur Forum in late October to be held at the Santa Clara Convention Center. The keynote speaker of this event will be the former President Bill Clinton, and will be attended by a large number of Chinese mayors and their staff.
The Council needs your support more than ever, as we have passed a critical milestone.
Unfortunately our management team and volunteer leadership had been temporarily diverted to address certain un-substantiated allegations for the past few months, and we are glad that our independent auditor and the F&A Committee have cleared all those allegations.
We are happy to report that even with the distractions, the Council was able to accomplish a very critical study:
Cooperated with the China Electric Power Research Institute (CEPRI), our volunteer experts formed a committee and provided an assessment of US-based technology & products providers serving the Smart Cities/Smart Grid sector. The study report has been drafted, and the final report is expected to be completed by September. This is a landmark study that specifically focuses on surveying the latest US achievements in Smart Grid technologies, highlighting key Smart Grid power distribution systems and techniques, providing power utilization and systems insights, summarizing power distribution and utilization management & monitoring systems, with recommendations on customer-side energy management solutions that may form a fundamental basis for China to adopt as needed.
Furthermore, as the Council looks ahead to 2012 and beyond, we have initiated discussions with highly motivated and interested Chinese government entities, economic development organizations, education and research institutes, and companies seeking innovative products and technologies, such as:
• Shanghai Jiaotung University
• China Cleantech Group
• Ordos Municipal Government & Low Carbon Valley Authority
• Ningbo Cleantech Innovation Center, Intelligent Port project
• Tsinghua Shenzhen Investment Authority
• Tsinghua Delta Investment Authority
• Poly Group
These organizations are seeking partners, technologies, and pilot projects and commercialization opportunities in the following fields:
• Solid waste recycling, reclamation technology
• Alternate-fuel/ electric vehicle transportation for cars, buses, trucks
• Renewable energy products and technology
• Waste energy capture and reuse
• Water treatment
• Energy storage approaches for renewable and legacy electric generation
• System engineering Smart Cities
• Eco-City, Eco-District, Green Energy Exhibition Center
• Emerging technology, devices, and integration of Internet of Things
• Proven clean energy systems for Shanghai-Disney
